CONTRACTS

 

Negotiated, drafted, and reviewed all sales contracts and RFP responses for Los Angeles region.

 

Negotiated, drafted and reviewed certain company-wide reseller agreements, referral agreements, joint ventures, and similar third-party agreements.

 

MERGERS & ACQUISTIONS

 

Led negotiations for successful acquisition of SoftAware, Inc. by Digital Island (Nasdaq: ISLD) for a total of $450 million in stock and cash.

 

Headed M&A team, from due diligence to closure, acquiring eight private companies.

 

Served a role in the acquisition of Exodus Communications, Inc. (Nasdaq: EXDS) by Cable & Wireless (NYSE: CWP) for $750+ million in cash, and primary role in migration and integration of Los Angeles and additional Digital Island and Exodus assets into Cable & Wireless.

 

Worked out the legacy SoftAware merger issues, including employment/HR issues, and actions as Shareholder’s Agent for former SoftAware shareholders.

 

Led the integration of Marina del Rey/SoftAware personnel, equity, and accounts into Digital Island .

 

FINANCE

 

Obtained more than $10 million in secured financing

 

Obtained $9.3 million in venture capital

 

Completed second round financing in preparation for IPO process.

 

INTELLECTUAL PROPERTY

 

Negotiated, drafted and reviewed numerous licensing agreements.

 

Filed and prosecuted numerous Trademark Applications successfully through US PTO.

 

Negotiated company-wide copyright complaints under the Digital Millennium Copyright Act.
